Direct sellers face new use tax collection challenge

For many years, states have struggled with ways to collect taxes on sales made by remote sellers - mail order companies and, in recent years, Internet marketers.  The new technology of the web has heightened the state's sense of urgency in this area.  The U.S. Supreme Court has consistently ruled that states can't force companies without nexus to collect use taxes, but that hasn't stopped the states from trying to force the issue while companies have used tax planning strategies to avoid those collection duties.  Many companies that have brick and mortar stores created separate corporations to handle their Internet sales specifically to avoid use tax collection duties.  This is what has prompted a lawsuit in Illinois initiated by a law firm that is trying to use the whistleblower statute in that state to force those affiliated companies to collect taxes and, in the meantime, create a potential bonanza for the law firm.  The editors of Sales & Use Tax Alert talked to all the parties involved and many other experts to give you a complete picture of what this bizarre twist means.

When saying "Happy Birthday" can mean tax savings

Recent IRS actions reveal a hard-line strategy for passthrough entities such as family limited partnerships and limited liability companies involved in estate tax cases.  In an upcoming article in the Journal of Practical Estate Planning, Owen G. Fiore, a founding partner of Fiore Ramsbacher LLP in San Jose, CA, takes a close look at what the IRS is doing now and gives solid advice for preparing for and preventing these challenges.  He takes apart the IRS "playbook" and explains how IRC Sec. 2036 is seen as a "smoking gun" in FLP/LLC plans.  The IRS is using this tool to disregard the FLP or LLC, despite many taxpayers' assumptions that they can make entity choices based on state laws.  Fiore is a nationally recognized estate planner and tax litigator.  He is a member of the Trusts & Estates Advisory Board and serves as a member of CCH's Financial and Estate Planning Advisory Board.
